Are You Aware of the Latest Updates on Passive Foreign Investment Company Reporting Rules?

On December 30, 2013, the U.S. Treasury Department and the IRS issued regulations which define Passive Foreign Investment Company (PFIC) shareholders and outline the reporting requirements for PFICs. These rules are effective for tax years ending after December 30, 2013.

 

What Constitutes a PFIC Shareholder?

A PFIC shareholder is defined as a U.S. person who owns PFIC stock, either directly or indirectly through a foreign partnership or foreign corporation. The following are U.S. persons deemed to own interest in PFICs:

• A U.S. person who owns at least 50% of the value of the foreign corporation where the foreign corporation owns a PFIC is deemed to indirectly own the PFIC;

• Partners, S corporation shareholders, and beneficiaries;

• Owners of grantor trusts which either directly or indirectly own an investment in a PFIC; and

• Each beneficiary of a non-grantor trust which directly or indirectly owns an interest in the PFIC.

In all of these instances, a partnership, S corporation, grantor or non-grantor trust is considered a “shareholder” for “information reporting” purposes. Note that, with the exception of refinements for ownership through trusts, the PFIC shareholder definitions remain relatively unchanged from the 1992 proposed regulations.

Reporting Requirements

Ownership Through Foreign Entity

For PFIC shareholders who are the first U.S. owners in the chain, it’s important to be aware of a new filing requirement that applies whether or not the U.S. person has an income inclusion. (In the past, this applied only if there was an income inclusion.) The requirement obligates you to complete and file Form 8621, if, during your tax year, you own stock of a PFIC either directly or indirectly through a foreign entity or indirectly through a grantor trust.

If you have IRC Sec. 475(f) funds in the mix, the consequences of the provision are even more far-reaching. In the past, these funds did not have a filing requirement as the 475(f) rules trumped the PFIC rules, meaning Form 8621 was not required. Under this new standard, however, any U.S. person owning a PFIC, regardless of whether a Qualifying Electing Fund (QEF) election, PFIC Mark-toMarket (MTM) election, or 475(f) election is in place, will need to file Form 8621.

Ownership Through U.S. Entity

In the past, a U.S. person who owned a PFIC through another U.S. pass-through entity was not required to file Form 8621 as long as the pass-through entity filed the form and had a QEF or PFIC MTM election in effect. While this provision has not changed, keep in mind that if one of those elections is not in place, the last shareholder in the chain is required to file Form 8621 provided there is an excess distribution or a gain on disposition of the PFIC that is treated as an excess distribution.

Tax-exempt Organizations

Certain U.S. persons who qualify as tax-exempt organizations which own PFICs may not be required to file an annual report on Form 8621. These include:

• 501(a) exempt organizations;

• Sec. 511 state colleges and universities;

• Sec. 403(b) or 457(b) plans;

• Individual retirement accounts and annuities; and

• Sec. 529 qualified tuition plans.

This exemption only applies if the entity is not subject to tax on the PFIC income.

Using the portal and its related services requires the use of a password and a user name. The confidentiality of your password and account is your responsibility. Any activities that occur under your account either by you or your Agents are your responsibility. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. It is prohibited to use anyone else’s account without the express permission of that account holder.

Accuracy of Content and Liability Disclaimer

Changes to Terms and Conditions of Use

UE may at any time modify the terms, conditions and notices under which the portal is offered by updating this posting. You are bound to any such modifications and should therefore periodically visit this page to review the then-current terms and conditions to which you are bound.

Confidentiality, Information Protection, and Protection Data

Notwithstanding any existing legal or contractual obligations regarding confidentiality between you and UE, you undertake to treat all knowledge relating to business secrets, which come into your possession, as confidential. You shall assure that any protected data, which comes into your possession through the use of the portal, is not transmitted to any unauthorized person. In partial consideration of the opportunity to access the resources of the portal concerning your account, you agree to maintain the strict confidentiality of access of the portal and its data to you and your authorized Agents and to indemnify and hold harmless UE and its officers, shareholders and employees and their heirs, successors and assigns from and against any and all claims, actions, demands, losses, damages, judgments, costs and expenses, including without limitation, reasonable attorneys’ fees and liabilities of every kind which may arise from your or your employees’ or agents’ use of the portal or because of violation of these terms and conditions of use.

No Unlawful or Prohibited Use

You are prohibited from using the portal to damage, disable, or overburden UE’s servers or network or impair the portal or interfere with any other party’s use of the portal. Hacking, password mining or any other means to gain unauthorized access to the portal, portal accounts, computers or network is prohibited. Posting or transmitting any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to a civil liability, or otherwise violate any law is also prohibited. UE will fully cooperate with any law enforcement authorities or court order requesting or directing this firm to disclose the identity of anyone posting any such information and materials.
